1. Parties

Consignor

The Consignor and the Consignee are each a "Party" and together the "Parties".

2. Purpose

The Consignor appoints the Consignee to hold, market, and sell certain goods owned by the Consignor on a consignment basis under this Agreement. No transfer of ownership is intended except as expressly provided herein.

3. Consigned Goods

3.1 Definition

"Consigned Goods" means the goods described in Schedule 1, including quantities, specifications, and recommended resale prices.

3.2 Ownership

Title to the Consigned Goods remains with the Consignor until the goods are sold to an end customer and full payment has been received.

3.3 Identification and Segregation

The Consignee shall clearly identify the Consigned Goods as belonging to the Consignor and, unless otherwise agreed, keep them separate from other inventory.

4. Delivery and Risk

4.1 Delivery

Delivery terms, including location and logistics responsibility, are set out in Schedule 2.

4.2 Risk of Loss

Risk of loss or damage passes to the Consignee upon receipt and remains with the Consignee until the goods are sold or returned to the Consignor, except where loss is caused by force majeure.
