Freelance Agreement

This Freelance Agreement (the "Agreement") is entered into on Date (the "Effective Date").

The Client and the Freelancer are each a "Party" and together the "Parties".

2. Scope of Services

2.1 Services

The Freelancer shall provide the services described in Schedule 1 (the "Services").

2.2 Performance

The Services shall be performed independently and in accordance with the agreed specifications and deadlines.

2.3 Scope Changes

Any changes to scope must be agreed in writing. Work outside the agreed scope may be subject to additional fees.

3. Independent Contractor Status

3.1 Independent Contractor

The Freelancer acts as an independent contractor and not as an employee, partner, or agent of the Client.

3.2 Indicia of Self-Employment

To evidence the Freelancer's genuine status as an independent contractor for Danish tax and labour-law purposes, the Parties confirm that:

• Right of substitution: the Freelancer may perform the Services through a suitably qualified substitute or subcontractor, subject to reasonable prior notice to the Client and the Client's consent (not to be unreasonably withheld or delayed);
• No control over hours, method, or location: the Client does not direct the specific hours worked, the working method, or the location from which the Services are performed; the Freelancer determines these matters at its own discretion, subject only to the agreed deadlines and specifications in Schedule 1;
• Own equipment: the Freelancer supplies its own equipment, tools, software, and work premises necessary to perform the Services, except to the extent otherwise expressly agreed in writing;
• Multiple clients: the Freelancer is free to provide services to other clients, including businesses that may compete with the Client, at the same time as performing the Services, subject to Section 7 (Confidentiality);
• Economic risk: the Freelancer bears the economic risk of the engagement, including the risk of loss or reduced profit if the Services are not completed as agreed, and does not receive employee-type benefits (such as paid holiday, sick pay, pension contributions, or notice pay) from the Client.
